Subscription Terms
Effective Date: April 12, 2026
These Subscription Terms govern access to and use of ModernEDI workspaces, hosted AS2 endpoints, X12 mapping tools, transaction visibility, integration APIs, and related services. If you use ModernEDI on behalf of an organization, you represent that you have authority to bind that organization to these terms.
Accounts and Workspaces
Customers are responsible for the users they invite, the roles they assign, and the activity that occurs in their ModernEDI workspace. Account credentials, integration API keys, AS2 certificates, and private operational details must be kept secure.
Subscriptions and Billing
Paid plans, trial periods, renewal periods, and available features are described during checkout, in the application, or in an applicable order form. Fees are billed through our payment provider unless a separate written agreement states otherwise.
Unless checkout or a separate written agreement states otherwise, self-serve ModernEDI subscriptions are offered month to month and do not require a long-term contract. Customers can cancel through the available billing flow or by contacting support.
For eligible self-serve cancellations, ModernEDI will apply fair prorated treatment for unused service time in the final billing period, which may be provided as a refund, account credit, or other billing adjustment depending on payment-provider processing, unpaid balances, abuse or fraud review, and any separate written agreement.
Platform Use
ModernEDI is designed for legitimate business EDI operations, including partner onboarding, AS2 message exchange, X12 mapping, transaction review, acknowledgements, replay, and managed output delivery. Customers are responsible for validating their mappings, partner settings, downstream integrations, and production workflows.
Customer Content
Customers retain ownership of the EDI payloads, mappings, partner records, certificates, transaction data, and other content they submit to ModernEDI. Customers grant ModernEDI the rights needed to host, process, transmit, store, secure, troubleshoot, and support that content as part of providing the service.
Acceptable Use
Use of ModernEDI must comply with our Acceptable Use Policy. We may restrict, suspend, or remove access if we believe a workspace, user, integration, or traffic pattern creates security, abuse, legal, availability, or operational risk.
Security
ModernEDI uses reasonable technical and operational safeguards for the service. Customers are responsible for their own user access controls, partner approval processes, downstream systems, and secure handling of credentials and certificates exported from the platform.
Availability and Changes
We work to keep ModernEDI available and reliable, but the service may be unavailable during maintenance, upgrades, incidents, provider outages, or events outside our control. We may update, improve, add, or remove features as the platform evolves.

Disclaimers
Except as expressly stated in a written agreement, ModernEDI is provided "as is" and "as available" without warranties of any kind. We do not guarantee that every trading partner, downstream system, mapping, document variant, or external integration will work without customer review, configuration, and testing.
Limitation of Liability
To the fullest extent permitted by law, ModernEDI will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business interruption arising from use of the service.
Separate Agreements
If ModernEDI and a customer enter into a signed order form, master services agreement, data processing addendum, or other written agreement, that agreement controls to the extent it conflicts with these online terms.
